Terms of Service

These Terms form a binding agreement between CapIX Network ("CapIX", "we") and the business or professional person or organisation using the Services ("Customer", "you"). The CapIX contracting operator is the entity identified in your accepted order, invoice, provider-onboarding record or other written agreement. Contact: hello@capix.network.

1. Services and decentralised model

CapIX provides software, APIs and interfaces that discover, quote, route, coordinate and meter compute supplied by independent node operators and infrastructure providers ("Providers"). Workloads may be split, replicated, migrated or routed according to price, capability, availability, policy and reliability. CapIX does not own or control every node and is not a Provider's employer, partner or agent. The Services include the CapIX website, console, IDE, CapIX Code, APIs, routing services and documentation. Preview or experimental features may be changed, withdrawn or subject to additional terms.

2. Business eligibility and accounts

Paid Services are offered for business or professional use and not for consumer use. You represent that you are at least 18, have authority to bind the identified organisation, are not sanctioned or prohibited from using the Services, and will provide accurate information. You must protect credentials, wallets, API keys and recovery material; configure authorised users; and promptly report compromise. You are responsible for account activity except to the extent caused by CapIX's breach.

3. Quotes, orders and Providers

A quote is time-limited and does not reserve capacity until accepted. An order becomes binding when CapIX confirms acceptance or begins provisioning. You authorise CapIX to transmit workload instructions and necessary Customer Content to Providers selected by you or your routing policy. Provider, hardware and region may change where that policy permits. A dedicated location, machine or Provider commitment applies only when expressly stated in the accepted order. Decentralised capacity can fail or disappear; maintain backups and select the resilience level appropriate to your workload.

4. Charges, balances and CPX

Charges are displayed before acceptance or calculated under the displayed rate and metering unit. You authorise reservations and deductions from your CapIX balance or selected payment method for verified usage, Provider costs, agreed fees and applicable taxes. Unused reservations are released under the Refund and Cancellation Policy. Ledger entries, route receipts and metering records are evidence of usage, subject to correction for manifest error.

CPX is a functional network utility and accounting asset. It is not offered as an investment, security, deposit, e-money, ownership interest, promise of profit or claim against CapIX. CPX does not create governance, dividend, redemption or reimbursement rights unless a specific written feature expressly provides them. Availability, transferability and value may change. You accept blockchain, wallet, protocol, liquidity and volatility risks. CapIX does not provide investment, tax or legal advice.

5. Customer Content and acceptable use

You retain rights in data, code, prompts, models and workloads you submit ("Customer Content"). You grant CapIX and authorised Providers a limited licence to host, transmit, reproduce and process it only to provide, secure and support the Services. You are responsible for legality, licences, backups, configuration, outputs and compliance with the Acceptable Use Policy. Do not submit regulated or highly sensitive data unless the order and Data Processing Addendum expressly support it.

6. Intellectual property

CapIX and its licensors retain rights in the Services, software, branding, documentation and aggregated telemetry other than Customer Content. Subject to these Terms, CapIX grants you a limited, non-exclusive, non-transferable right to use the Services during the term. Open-source components remain governed by their licences. Feedback may be used without restriction or payment, without identifying you.

7. Availability, suspension and changes

The SLA applies only to eligible paid Services. CapIX may suspend access for security, illegality, non-payment, network integrity, Provider risk or material breach. Emergency changes may occur without notice. We will provide reasonable notice of materially adverse contractual changes unless law or urgent security requires faster action.

8. Confidentiality and data protection

Each party will protect non-public confidential information and use it only to perform this agreement. The Privacy Notice explains CapIX's controller processing. Where CapIX processes personal data on Customer instructions, the Data Processing Addendum applies. Customer controls routing and must select appropriate regions and security controls.

9. Warranties and disclaimers

Each party warrants that it has authority to enter this agreement. CapIX will provide paid Services with reasonable skill and care. Except as expressly stated and to the maximum extent permitted by law, the Services, Providers, routes, outputs and CPX are provided "as is". CapIX disclaims implied warranties of uninterrupted operation, merchantability, fitness, non-infringement and output accuracy. Decentralised nodes are not inherently confidential or trustworthy; use supported encryption and isolation.

10. Liability

Nothing limits liability that cannot legally be limited, including fraud or fraudulent misrepresentation and death or personal injury caused by negligence where applicable. Neither party is liable for indirect, special or consequential loss, or lost profit, revenue, goodwill or data. CapIX's aggregate liability in any 12-month period is limited to the greater of GBP 500 and fees paid for the affected Services in that period. The cap does not apply to Customer payment obligations, unlawful use, infringement or AUP breach. Mandatory rights prevail.

11. Termination and disputes

Either party may terminate as described in the Refund and Cancellation Policy. CapIX may terminate for an uncured material breach after 10 days, immediately for serious security or AUP violations, or where continued service is unlawful. Accrued charges and provisions intended to survive remain effective. Before proceedings, contact hello@capix.network and allow 30 days for good-faith resolution. These Terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction except where mandatory law requires otherwise. Accepted orders, the DPA and linked policies form the entire agreement; order-specific terms prevail over these Terms.
