Terms of Service

These Terms are the agreement between you and the CapIX group. CapIX Technologies (Cayman Islands) is the group entity; your contracting party is its UK subsidiary, KK10 Limited (company number 16586734) ("CapIX", "we", "us"), when you use the CapIX website, apps, APIs and marketplace (the "Service"). By creating an account, connecting a wallet or using the Service, you accept these Terms. If you do not agree, do not use the Service.

1. What the Service is

CapIX is a creation and compute platform. It lets you generate text, images, audio, video and apps with AI models; buy and sell digital artifacts and agents on a marketplace; and route compute workloads to independent infrastructure providers. Some capacity is supplied by third-party providers we do not own or control; we route, meter and settle it, but provider hardware and availability can change.

Features marked preview or experimental may change or be withdrawn at any time.

2. Accounts and wallets

You authenticate with a Solana wallet. Your wallet address is your account identity — there is no password for us to reset. You are responsible for your keys, for everything that happens through your wallet or API keys, and for keeping recovery material safe. We cannot recover a lost wallet.

You must be at least 18 years old and legally able to accept these Terms.

3. Acceptable use

You must not use the Service to generate, upload, list or distribute content that:

  • is illegal, or promotes illegal activity, fraud or serious physical harm;
  • is sexually explicit, including any sexual content involving minors or non-consensual intimate imagery — this is an immediate, permanent ban;
  • harasses, threatens, defames or targets a person or group;
  • infringes intellectual-property, privacy or publicity rights, or impersonates a real person without consent;
  • is malware, phishing, spam or an attempt to access systems without authorisation.

You must not abuse the platform itself: no bypassing quotas, rate limits, metering, watermarks or payment; no scraping at abusive rates; no reselling free-tier access. Automated moderation and human review exist — generation lanes and marketplace listings are screened, and reported content is reviewed. We may remove content, quarantine workloads, suspend or terminate accounts that violate these rules, and report unlawful content to authorities where required.

4. Payments, balance and subscriptions

CapIX runs on one USDC balance. You top up by crypto deposit (SOL or USDC) and every paid action — generations, autopilot channels, marketplace purchases, compute — draws from that balance at the price shown before you confirm. Per-use charges are final once the work is delivered.

When you start a paid action we place a hold on your balance; the hold is captured only on successful delivery. If generation, provisioning or delivery fails, the unused hold is released automatically — you are not charged for work you did not receive. Duplicate charges and ledger errors are corrected after reconciliation; contact support within 30 days.

Subscriptions (Pro, Creator) renew monthly by drawing the plan price from your balance and grant that amount back as spendable credits plus perks. Credits roll over while the plan stays active. If your balance cannot cover a renewal, the plan lapses to Free — you are never charged money you did not deposit. You can cancel a subscription at any time from Settings or the billing API; it stays active until the end of the paid period. Card payments are not live on this deployment yet; when they are, they will be processed by a third-party payment processor under their terms as well.

Balances are prepaid credit for the Service, not a deposit account: they are not redeemable for cash, do not earn interest, and promotional credits have no cash value. Crypto network fees and blockchain finality are outside our control.

5. Marketplace terms

Sellers list digital artifacts (apps, sites, games, prompts, videos, agents and NFTs) at a fixed price. Buyers pay from their balance: the full price is held at purchase and captured only when the artifact is delivered — if delivery fails, the hold is released and the sale does not complete. That hold-and-capture flow is the buyer protection.

Settlement to sellers is the sale price minus the platform fee: 5% on every sale (seller receives 95%), plus a 3% surcharge when CapIX hosts the artifact (seller receives 92%). Fees are swapped to CPX and burned. Seller proceeds are credited to the seller's CapIX balance; sellers are responsible for their own taxes and for the accuracy of their payout details.

NFT listings settle atomically on Solana: the seller escrows the NFT with the market escrow, and payment, platform fee and NFT transfer execute in one transaction — all legs or none. Blockchain records are public and cannot be reversed or erased by CapIX.

Sellers warrant they own or control the rights to what they list. We may delist items that violate these Terms and withhold settlement connected to fraud or unresolved disputes.

6. AI-generated content

AI outputs may be wrong, incomplete, biased or nonsensical. They are generated content, not professional advice — do not rely on them for medical, legal, financial or safety-critical decisions. You are responsible for reviewing outputs before using or publishing them, and for how you use them. Similar outputs may be generated for other users.

7. Watermarks and attribution

Outputs generated on the Free tier and guest lane carry a visible "capix" watermark and may carry provenance metadata. You must not remove, obscure or crop watermarks or provenance marks from free outputs, or present free-tier output as unmarked. Accounts with any settled deposit, and paid plans, receive watermark-free artifacts by default. When you share an artifact, the public artifact page may attribute it as built with CapIX.

8. Your content and our IP

You keep your rights in the prompts, files and content you submit and, to the extent the law allows, in the outputs generated for you. You grant us a limited licence to host, transmit and process your content only to provide, secure and support the Service. We do not use your private content to train general models without your explicit opt-in. The Service itself — software, branding, routing systems — remains ours or our licensors'.

9. Disclaimers and limitation of liability

The Service is provided "as is" and "as available". We do not warrant uninterrupted operation, output accuracy, fitness for a particular purpose, or the availability of any provider, model or blockchain network. Decentralised capacity can fail or disappear — keep your own backups.

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, lost profits, lost data, lost crypto assets, or losses from wallet compromise, blockchain congestion or third-party providers. Where liability cannot be excluded, our aggregate liability is limited to the amounts you actually paid us for the affected Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot legally be limited.

10. Suspension and termination

You can stop using the Service at any time. We may suspend or terminate access immediately for serious or repeated violations of these Terms (especially Section 3), for security risk, fraud or non-payment, or where continued service would be unlawful. On termination, accrued charges remain payable and sections that by their nature should survive (payment obligations, disclaimers, liability limits, disputes) survive.

11. Changes and disputes

We may update these Terms; material changes will be posted on this page with a new effective date, and continued use after that date means acceptance. Before starting any proceeding, contact support@capix.network and give us 30 days to resolve the matter in good faith. Mandatory consumer rights in your jurisdiction are unaffected.

12. Related documents

The Privacy Notice explains the data we collect. Formal network documents — the compute Terms of Service, Acceptable Use Policy, Refund and Cancellation Policy, SLA and Data Processing Addendum — are published in the legal document centre and form part of this agreement where they apply to your use.
